Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and KD Incubator UG (haftungsbeschränkt), Schönensche Str. 13, 10439 Berlin, Germany ("Northlight", "we", "our", "us"). By creating an account, embedding the Northlight SDK or otherwise using the Services, you agree to be bound by these Terms.

1. Definitions

  • "Services" – the Northlight web application at gonorthlight.com, any sub‑domains, our iOS/Android SDK and related support services.
  • "Workspace" – a collaborative space where you and invited members collect feedback, track bugs and manage roadmaps.
  • "Content" – feedback, comments, votes, attachments, images or other data submitted to a Workspace.
  • "Subscription" – the paid plan selected through your account settings and charged via Polar.

2. Eligibility

You must be 18 years or older and act in the course of your commercial or independent professional activity (§ 14 BGB). The Services are offered solely to business users; consumer use (§ 13 BGB) is not permitted.

3. Account Registration & Security

Provide accurate information and keep credentials confidential. You are responsible for all activities under your account. Notify us immediately of unauthorised use.

4. Subscriptions, Fees & Payment

  • Prices, billing intervals and features are shown on our pricing page and may change with 30 days' notice.
  • Fees are charged in advance via Polar using the payment method you provide.
  • All fees are non‑refundable. Cancelling a Subscription stops future billing but does not entitle you to a refund of fees already paid.

5. Licence to Use the Services & SDK

We grant you a non‑exclusive, non‑transferable, revocable licence to (a) access the web dashboard and (b) embed the SDK in your apps solely to collect feedback for your Workspace.

6. User Content

You retain all rights in Content you or your end‑users submit. By uploading Content you grant Northlight a worldwide, royalty‑free licence to host, process and display it to operate the Services.

You are responsible for ensuring that:

  • you have lawful grounds to collect your end‑users' data;
  • Content does not infringe third‑party rights or contain unlawful material.

7. Acceptable Use

You agree not to:

  1. Upload malware or conduct security testing without consent;
  2. Interfere with the integrity or performance of the Services;
  3. Reverse engineer, scrape or attempt to access source code;
  4. Use the Services in violation of applicable law or to build a competing product.

We may suspend accounts that breach this section.

8. Third‑Party Services

The Services integrate with third‑party providers (e.g., Supabase, Polar, Sentry, PostHog). Northlight is not responsible for third‑party services; your use of them is subject to their own terms.

9. Intellectual Property

We retain all rights, title and interest in the Services, including trademarks and software. Except for the limited licence in §5, no rights are granted by implication or otherwise.

10. Confidentiality

Each party must protect non‑public information disclosed by the other that is marked or should reasonably be understood as confidential. This obligation survives termination for 3 years.

11. Warranty Disclaimer

The Services are provided "as is" and "as available". To the extent permitted by German law we disclaim all warranties, including merchantability and fitness for a particular purpose.

12. Limitation of Liability

Northlight is liable without limitation for intent, gross negligence, injury to life, limb or health and under the German Product Liability Act.

For slight negligence we are liable only for breach of material contractual obligations ("Kardinalpflichten") and, in that case, our liability is limited to an amount not exceeding three (3) times the fees you paid to Northlight in the twelve (12) months immediately preceding the event giving rise to the claim. The foregoing does not affect liability under the unlimited categories above.

13. Indemnification

You will indemnify and hold harmless Northlight from third‑party claims arising from (a) Content you submit, or (b) your breach of these Terms.

14. Termination

You may cancel your Subscription at any time via the dashboard; we may terminate for material breach with 30 days' notice (or immediately for abusive behaviour). Upon termination:

  • access to the Services ceases;
  • Workspace data is deleted after 30 days unless legal retention applies.

15. Governing Law & Venue

These Terms are governed by German law. Exclusive place of jurisdiction is Berlin, Germany, except where mandatory statutory venue rules apply.

16. Changes to Terms

We may update these Terms. Material changes become effective 30 days after notice via e‑mail or banner. Continued use constitutes acceptance.

17. Miscellaneous

If any provision is invalid the remainder stays in effect. Neither party may assign the agreement without consent, except to a successor in a merger or asset sale. Delay in enforcing a right is not a waiver.
